Beijing-based Guantao Law Firm is acting as the sole PRC counsel to Wah Nam International Holdings, a Hong Kong-listed mining and transport company, on its concurrent off-market takeover bids for Australian companies Brockman Resources and FerrAus Limited. The firm is also advising Wah Nam on its simultaneous listing on the Australian Stock Exchange (ASX).
According to the agreement, the company will acquire all shares in Brockman Resources and FerrAus Limited and then apply for the listing of all the Wah Nam shares and options on ASX.
The Guantao team was led by partners Xiao Hongming and Xu Ling (pictured). The firm is Wah Nam’s long-term legal advisor, having advised the company on its acquisition of the Damajianshan copper mine in 2008. According to Xu, it’s the firm’s familiarity with Wah Nam that makes the transaction rather straightforward, despite its massive deal value. ALB
