    From 1 October 2004 the disclosure requirements for companies listed on the Korea Stock Exchange (KSE) and KOSDAQ were amended to shorten reporting deadlines, decrease the number of disclosure items, require more specific and detailed disclosures, establish a disclosure review committee, institute a penalty point system for violations and to introduce other steps to prevent and detect disclosure violations.

  • PROPOSED AMENDMENTS TO THE TRUST BUSINESS ACT OF KOREA

    The Korean government recently indicated a plan to overhaul the trust system in Korea this year. Amendments to the Trust Business Act are expected to be submitted to the National Assembly this summer.  If these amendments are passed as planned, for the first time, trusts will be allowed to consist of several types of properties. The type of properties eligible for trusts will also be expanded to include various intellectual and industrial property rights.

    The Korean National Assembly recently announced a list of draft laws that it will be reviewing this year. Among them was the draft insolvency law, which is designed to replace the current insolvency laws in place - namely the Bankruptcy Act, the Corporate Reorganisation Act and the Composition Act. The draft law is essentially a combination of the Bankruptcy Act and the Corporate Reorganisation Act, with the provisions of the Composition Act being for the most part discarded.

  • Revisions to Regulations covering electronic commerce

    The Korean Fair Trade Commission (KFTC) recently announced plans to shore up consumer protection and confidence in electronic commercial transactions by suggesting amendments to electronic commerce consumer protection laws. These amendments will be presented to the National Assembly sometime in May or June of 2004.

    The Securities and Exchange Act of Korea (SEA) and the Enforcement Decree therefore (SEA ED) were amended as of 1 April 2004 to, among other things, revise reporting requirements for transactions involving large amounts of assets or those involving the largest shareholder of a company and related parties.
